Read This Before Selling NCR Corporation (NYSE:NCR) Shares

Veer Mallick

It is not uncommon to see companies perform well in the years after insiders buy shares. On the other hand, we’d be remiss not to mention that insider sales have been known to precede tough periods for a business. So we’ll take a look at whether insiders have been buying or selling shares in NCR Corporation ( NYSE:NCR ).

What Is Insider Selling?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock on the market. However, rules govern insider transactions, and certain disclosures are required.

We don’t think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. As Peter Lynch said, ‘insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.’

NCR Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider purchase was by President Michael Hayford for US$512k worth of shares, at about US$29.28 per share. That means that an insider was happy to buy shares at above the current price. Their view may have changed since then, but at least it shows they felt optimistic at the time. It’s not at all bad to see insiders buy shares at or above current prices. Michael Hayford was the only individual insider to buy shares in the last twelve months.

Insider Ownership of NCR

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. NCR insiders own about US$18m worth of shares. That equates to 0.6% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Does This Data Suggest About NCR Insiders?

It doesn’t really mean much that no insider has traded NCR shares in the last quarter. However, our analysis of transactions over the last year is heartening. Overall we don’t see anything to make us think NCR insiders are doubting the company, and they do own shares. If you are like me, you may want to think about whether this company will grow or shrink.
